Acceptance of Terms

By accessing or using the Geocoupler platform ("Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to all the terms and conditions of this agreement, you may not access or use the Service.

These Terms apply to all visitors, users, and others who access or use the Service. By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms then you may not access the Service.

User Accounts

When you create an account with Geocoupler, you must provide accurate, complete, and up-to-date information. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account.

You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

You may not use as a username the name of another person or entity or that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than you without appropriate authorization, or a name that is otherwise offensive, vulgar, or obscene.

Subscription and Billing

Some parts of the Service are billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing cycles are set on a monthly or annual basis, depending on the type of subscription plan you select.

At the end of each Billing Cycle, your Subscription will automatically renew under the exact same conditions unless you cancel it or Geocoupler cancels it. You may cancel your Subscription renewal either through your online account management page or by contacting Geocoupler customer support.

A valid payment method, including credit card or PayPal, is required to process the payment for your Subscription. You shall provide Geocoupler with accurate and complete billing information including full name, address, state, zip code, telephone number, and valid payment method information.

Intellectual Property

The Service and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of Geocoupler and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Geocoupler. Nothing in these Terms constitutes a transfer of any intellectual property rights from us to you.

You retain all rights to any content you submit, post, or display on or through the Service. By submitting, posting, or displaying content on or through the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute such content in connection with operating and providing the Service.

Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices regarding the collection, use, and disclosure of your personal information.

You retain ownership of all geospatial data, network designs, and other content you upload to the Service ("Your Data"). Geocoupler will not access, use, or share Your Data except as necessary to provide the Service or as required by law.

Geocoupler implements industry-standard security measures to protect Your Data, including encryption at rest and in transit, regular security audits, and SOC 2 Type 2 compliance. However, no method of electronic transmission or storage is 100% secure, and we cannot guarantee absolute security.

Acceptable Use

You agree not to use the Service for any purpose that is unlawful or prohibited by these Terms. You agree not to use the Service in any manner that could damage, disable, overburden, or impair the Service or interfere with any other party's use of the Service.

You agree not to attempt to gain unauthorized access to any portion of the Service, other accounts, computer systems, or networks connected to the Service, through hacking, password mining, or any other means.

You agree not to use any robot, spider, scraper, or other automated means to access the Service for any purpose without our express written permission. You agree not to transmit any worms, viruses, or any code of a destructive nature.

Limitation of Liability

In no event shall Geocoupler, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.

Geocoupler's total liability to you for all claims arising out of or relating to the use of or any inability to use any portion of the Service or otherwise under these Terms, whether in contract, tort, or otherwise, is limited to the greater of (a) the amount you have paid to Geocoupler for access to and use of the Service in the 12 months prior to the event giving rise to the claim, or (b) $100.

The limitations of this section shall apply to any theory of liability, whether based on warranty, contract, statute, tort (including negligence) or otherwise, and whether or not Geocoupler has been informed of the possibility of any such damage.

Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.

If you wish to terminate your account, you may simply discontinue using the Service, or you may contact us to request account deletion. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Upon termination, you may request an export of Your Data within 30 days. After this period, Geocoupler reserves the right to delete Your Data from our systems in accordance with our data retention policies.

Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
